These Terms of Use ("Terms") govern your access to and use of the website at http://localhost:4380 and of Bridge, the software platform for insurance brokers (together, the "Services"), provided by Dorian Mode Technologies Private Limited, an Indian company trading as Tarslink ("we", "us"). By accessing the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Acceptance and eligibility

You may use the Services only if you are at least 18 years old and, where you act for a firm, you are authorised to bind that firm. A firm that has signed an order form or subscription agreement with us is additionally bound by that agreement, which prevails over these Terms where the two differ.

2. What the Services are

Bridge is cloud software that helps licensed insurance brokers run their work: client intake, requests for quotation, comparison of insurer quotes, placement records, policy servicing and a client portal ("Connect"). Which features a firm may use is set by its subscription.

3. We are a technology provider, not an insurer or a broker

Tarslink is not an insurer, an insurance intermediary or a financial adviser, and is not registered with the Insurance Regulatory and Development Authority of India in any such capacity. The Services do not solicit, sell, underwrite, price or bind insurance and do not give insurance or financial advice. Every decision to quote, recommend, place or bind is taken by a licensed person at the broking firm using the Services. Nothing produced by the Services — including any benchmark, baseline or comparison — is a quotation, a rate or a recommendation from us.

4. Accounts

You must give accurate registration details and keep them current, keep your credentials confidential, and tell us promptly at legal@tarslink.ai if you suspect unauthorised use. You are responsible for activity under your account. A firm's administrator may create, change and remove user accounts for that firm and is responsible for them.

5. Acceptable use

You must not, and must not allow anyone to: use the Services unlawfully or for any purpose other than insurance broking and related administration; attempt to gain unauthorised access to any account, system or data; introduce malware or interfere with the Services' operation; reverse-engineer, decompile or copy the Services except where law permits; scrape, harvest or bulk-extract data other than your own firm's; send unsolicited communications through the Services; impersonate anyone; or publish benchmarks or comparisons of the Services without our written consent.

6. Intellectual property

The Services, including software, designs, text, marks (including "Tarslink", "Bridge" and the associated logos) and documentation, are owned by us or our licensors and are protected by Indian and international law. You receive a limited, non-exclusive, non-transferable right to use the Services for your firm's internal business during your subscription. No other right is granted.

7. Feedback

If you give us suggestions or feedback, we may use them without restriction or payment; you retain no rights in improvements we make.

8. Open-source components

The Services include open-source software under its own licences. A list of material components is available on written request to legal@tarslink.ai.

9. Your content

You and your firm own the data you put into the Services — client records, documents, census files, claims information and the like ("Customer Data"). You grant us a licence to host, process, transmit and display Customer Data solely to provide, secure and improve the Services for you and as these Terms and our Privacy Policy allow. You are responsible for having the rights and consents needed to give us Customer Data, including the consents of the individuals it describes.

10. AI-generated output

Parts of the Services use machine learning and large language models to read documents, draft text, classify information and propose actions ("AI Output"). AI Output is assistive. It can be incomplete or wrong. The Services are designed so that a person reviews and accepts AI Output before it becomes part of the record, and so that no AI feature can bind, price, publish, pay or approve anything. You are responsible for reviewing AI Output and for every decision made with it. Our AI Use Policy describes how AI is used in the Services and on this website.

11. Fees

Fees are as set out in your order form, in Indian rupees, exclusive of GST and any other applicable tax, and payable in advance unless agreed otherwise. Fees are non-refundable except where the law or your agreement provides otherwise. We will give at least 30 days' notice of any change to fees, effective from your next renewal.

12. Availability and changes

We aim for high availability but do not guarantee that the Services will be uninterrupted or error-free, except as stated in a service-level commitment in your agreement. We may change or withdraw features, giving reasonable notice of material changes.

13. Confidentiality

Each party will keep the other's confidential information confidential, use it only for the purposes of the Services, and protect it with at least reasonable care, for five years after the relationship ends — and, for trade secrets, source code and security information, for as long as the law protects them. Information that is public, already known, independently developed or required to be disclosed by law is excluded.

14. Data protection and security

Security is shared. We maintain administrative, technical and physical controls appropriate to the Services, host Customer Data in India, and process personal data as described in our Privacy Policy and in any data processing agreement with your firm. You are responsible for your users, your credentials, your devices and the lawfulness of the Customer Data you provide. Categories of sub-processors are available on request.

15. No warranty

Except as expressly stated in your agreement, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.

16. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, data or goodwill, however arising. Our total liability under or in connection with the Services in any twelve-month period is limited to the fees you paid us for the Services in that period. Nothing limits liability that cannot be limited by law, including for fraud.

17. Indemnity

You will defend and indemnify us against third-party claims, losses and costs arising from your Customer Data, your breach of these Terms, or your use of the Services in breach of law.

18. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, epidemic, war, civil unrest, government action, utility or telecommunications failure, or cyber-attack on infrastructure. If such an event lasts more than 30 days, either party may end the affected Services on written notice.

19. Governing law and disputes

These Terms are governed by the laws of India. The parties will first try to resolve any dispute by good-faith negotiation for 30 days from written notice, then by mediation. A dispute not resolved within 90 days of the notice will be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator, seated at [city], India, in English. The courts at [city] have exclusive jurisdiction for interim relief and to enforce an award.

20. Suspension and termination

We may suspend or end your access if you breach these Terms, if required by law, or if continued access risks harm to the Services or others; we will give notice where we reasonably can. Your firm's subscription ends as its agreement provides. On termination your right to use the Services ends, and sections 6, 7, 9, 13, 15, 16, 17, 19 and 22 survive. You may export your Customer Data before the end of the agreed retention period.

21. Assignment and notices

You may not assign these Terms without our written consent. We may assign them to an affiliate or a successor to our business. Notices to us go to legal@tarslink.ai or by registered post to the address below; notices to you go to your account email.

22. General

If any provision is unenforceable it will be modified to the minimum extent needed and the rest remains in force. Our failure to enforce a right is not a waiver. These Terms, the Privacy Policy, the AI Use Policy and, for subscribed firms, the order form and any data processing agreement, are the entire agreement between us on their subject. We may update these Terms; the effective date above will change and material changes will be notified to subscribed firms.
